LEGAL STATUS, INTERMEDIARY SAFE-HARBOUR AND NON-CONTROL PRINCIPLE
WAAYZY is constituted and operated strictly as an “intermediary” within the meaning of the Information Technology Act, 2000, and shall at all times function as a passive, neutral conduit that enables users to discover and connect with one another. WAAYZY does not initiate the transmission of information, does not select the receiver of any transmission, and does not select or modify the information contained in any transmission. The Platform does not create, offer, own, or control any service listed by users, and does not assign or dispatch Service Providers, determine pricing, dictate service standards, or supervise performance.
This strict non-control posture is fundamental to preserving intermediary safe-harbour and to preventing any inference of agency, employment, partnership, or joint venture. WAAYZY’s systems, interfaces, and communications are deliberately structured to avoid operational control over user conduct or outcomes. By maintaining neutrality and absence of control, WAAYZY positions itself outside the chain of liability for user-to-user conduct and seeks protection from vicarious or contributory liability under general civil principles and under the Indian Penal Code, 1860. Any interpretation that attempts to attribute control to WAAYZY is expressly disclaimed and contractually negated to the maximum extent permitted by law.
CONTRACTUAL CONSENT, WAIVER AND ENFORCEABILITY
Access to and use of the Platform is conditioned upon the user’s explicit, informed, and unambiguous consent to the Terms and Conditions, Privacy Policy, and Legal Disclaimer. WAAYZY implements a layered consent architecture that captures affirmative assent, records timestamps, IP/device identifiers, and the exact policy version accepted, thereby creating a verifiable evidentiary trail. This approach aligns with the consent requirements under the Digital Personal Data Protection Act, 2023 and strengthens enforceability of contractual terms.
Users expressly acknowledge that they have read and understood the allocation of risks, disclaimers, limitations of liability, and indemnities, and voluntarily agree to be bound by them. To the extent permissible, users waive claims against WAAYZY arising from user-to-user interactions and accept that such interactions are independent arrangements. This contractual architecture is designed to support dismissal or limitation of claims by demonstrating informed consent, assumption of risk, and clear allocation of responsibility.
DATA GOVERNANCE, RECORDS AND EVIDENTIARY READINESS
WAAYZY collects and processes personal data solely for legitimate platform purposes, including account management, communication enablement, security, and legal compliance, in alignment with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. WAAYZY maintains comprehensive, tamper-resistant logs of registration events, IP/device metadata, consent capture, communications (subject to lawful access), bookings, and system interactions.
These records are preserved in accordance with retention policies and are retrievable for lawful purposes, including cooperation with authorities and defense in proceedings. The availability of structured digital evidence is central to demonstrating WAAYZY’s non-involvement, identifying the actual transacting parties, and rebutting allegations of control or participation. WAAYZY’s data governance thereby functions as both a compliance mechanism and a litigation defense asset.
USER IDENTITY, LIMITED VERIFICATION AND NON-RELIANCE
Any verification mechanisms implemented by WAAYZY, including OTP validation or optional document checks, are provided solely for platform facilitation and basic identity corroboration. WAAYZY does not guarantee the authenticity, character, competence, or reliability of any user, and expressly disclaims any representation that verification equates to safety, endorsement, or certification.
Users are required to exercise independent judgment and due diligence before engaging with other users. Any reliance placed on user profiles or verification indicators is at the user’s sole risk. This non-reliance position is critical to negate claims based on alleged representations or assurances by the Platform.
FINANCIAL NON-INTERMEDIATION AND PAYMENT RISK ALLOCATION
WAAYZY is not a financial institution, payment aggregator (unless separately and expressly notified), escrow agent, or guarantor. Financial arrangements, including pricing, payments, advances, credit, loans, and any interest-bearing transactions, are entered into directly between users and are outside the operational control of WAAYZY.
WAAYZY does not guarantee payment performance, does not underwrite transactions, and does not assume liability for non-payment, delayed payment, chargebacks, or fraud. Where third-party payment gateways are used, such services are governed by their own terms, and WAAYZY’s role remains limited to facilitation. This structure is intended to avoid characterization as a financial intermediary and to allocate financial risk entirely to the transacting users.
INDEPENDENT CONTRACTOR STATUS AND LABOUR LAW EXCLUSION
Service Providers are independent contractors who determine their own methods, pricing, schedules, and performance standards. WAAYZY does not exercise control over the manner or means of service delivery and does not provide employment benefits, wages, or supervision.
No employer-employee relationship is created, and WAAYZY shall not be liable for obligations under labour or employment laws, including wages, minimum wages, provident fund, gratuity, insurance, or workplace safety. Service Providers bear sole responsibility for compliance with applicable labour, tax, and regulatory requirements. This clear delineation is essential to preclude employment classification risks and related statutory liabilities.
CRIMINAL LIABILITY DEFENSE AND NON-ATTRIBUTION
WAAYZY shall not be liable for criminal acts committed by users, including but not limited to offences under the Indian Penal Code, 1860 such as theft, cheating, criminal breach of trust, robbery, assault, or other unlawful conduct. WAAYZY does not instigate, direct, or benefit from such acts and cannot control user behavior.
In the event of any investigation, WAAYZY will cooperate with lawful requests from competent authorities and provide necessary records. The Platform’s defense rests on demonstrable absence of mens rea, absence of control, and lack of participation, supported by logs and contractual terms. This posture is intended to resist attribution of vicarious or contributory criminal liability to WAAYZY.
SAFETY, ASSUMPTION OF RISK AND NON-WARRANTY
WAAYZY does not provide safety guarantees, monitoring, or protective services. Users acknowledge that all interactions, whether online or offline, are undertaken at their own risk. WAAYZY disclaims all warranties, express or implied, including any warranty of safety, reliability, or fitness for a particular purpose.
Users voluntarily assume all known and unknown risks associated with engaging other users, including risks of misconduct, injury, or loss. This assumption of risk is integral to limiting liability and supporting defenses against negligence-based claims.
ACCIDENT, INJURY, DISABILITY AND INSURANCE DISCLAIMER
WAAYZY does not provide insurance coverage of any kind, including accident, health, or disability insurance. Any injury, disability (temporary or permanent), or death arising from services or interactions connected to the Platform is solely the responsibility of the users involved.
No claims for compensation, damages, medical expenses, or rehabilitation shall lie against WAAYZY. Users are responsible for assessing their fitness and arranging their own insurance coverage. This clause is intended to negate tort claims against the Platform.
PROPERTY, TOOLS AND EQUIPMENT RISK
WAAYZY shall not be responsible for any loss, theft, damage, or destruction of property, including tools, machinery, vehicles, or equipment used by users. All such assets are deployed at the user’s sole risk. WAAYZY does not provide compensation, repair, or replacement, and any disputes in this regard remain between users.
PLATFORM LANGUAGE, REPRESENTATION CONTROL AND NON-RELIANCE
All platform communications are calibrated to avoid representations that could imply control, guarantee, or endorsement. WAAYZY does not represent that users are “verified safe,” “trusted,” or “guaranteed.” Any informational badges or descriptors are indicative only and not assurances.
Users agree that they have not relied on any representation by WAAYZY beyond what is expressly stated in the governing documents. This non-reliance clause is designed to preclude misrepresentation claims
LAW ENFORCEMENT COOPERATION AND DATA DISCLOSURE
WAAYZY reserves the right to disclose user information to competent governmental authorities, law enforcement agencies, or courts where required by applicable law or lawful order. Such disclosures shall be made in good faith, limited to necessity, and shall not constitute a breach of privacy or contract.
WAAYZY maintains internal protocols to authenticate requests, log disclosures, and ensure proportionality, thereby reinforcing compliance and evidentiary integrity.
ENFORCEMENT RIGHTS, SUSPENSION AND TERMINATION
WAAYZY retains the right to suspend, restrict, or terminate user access at its discretion where there is a breach of terms, suspected unlawful activity, or risk to platform integrity. WAAYZY may preserve and use data for investigation and compliance purposes, even post-termination, as permitted by law.
These enforcement powers are necessary to maintain platform integrity while preserving intermediary status through reactive, not proactive, moderation consistent with safe-harbour principles.
LIMITATION OF LIABILITY AND EXCLUSION OF DAMAGES
To the maximum extent permitted by law, WAAYZY shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of the Platform. This includes, without limitation, financial loss, personal injury, death, property damage, fraud, or reputational harm.
Where liability cannot be excluded by law, it shall be limited to the minimum extent permissible. This clause is central to limiting exposure in civil proceedings.
INDEMNIFICATION AND DEFENSE OBLIGATION
Users agree to indemnify, defend, and hold harmless WAAYZY, its affiliates, and personnel from any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from their use of the Platform, breach of terms, or violation of applicable laws.
This indemnity survives termination and is intended to shift the burden of third-party claims to the responsible user, reinforcing WAAYZY’s defense posture.

This indemnity survives termination and is intended to shift the burden of third-party claims to the responsible user, reinforcing WAAYZY’s defense posture.
CIVIL CLAIM DEFENSE
In civil disputes, WAAYZY’s position is that it is not a service provider, does not render services, and does not exercise control over service delivery; consequently, no “deficiency of service” can be attributed to WAAYZY. The absence of privity in user-to-user contracts and the explicit contractual allocation of risk are relied upon to contest maintainability and liability.
CRIMINAL PROCEEDINGS DEFENSE
In the event of criminal proceedings, WAAYZY’s defense is grounded in absence of mens rea, absence of control, and lack of participation in the alleged act, supported by logs, consent records, and contractual disclaimers. WAAYZY’s cooperation with authorities and its intermediary status are relied upon to resist attribution of criminal liability.
DATA PROTECTION COMPLIANCE AND USER RIGHTS
WAAYZY implements consent-based processing, provides mechanisms for user requests (including access and deletion subject to lawful retention), and maintains a grievance channel in alignment with the Digital Personal Data Protection Act, 2023. Compliance with data protection norms reduces regulatory risk and supports lawful processing defenses.
CONTINUOUS COMPLIANCE, AUDIT AND VERSION CONTROL
WAAYZY undertakes periodic legal audits, updates policies to reflect evolving law, maintains version histories, and ensures that user acceptance is recorded for each version. This continuous compliance approach preserves enforceability and evidentiary strength over time.
POSITIONING STATEMENT
WAAYZY is a technology intermediary that facilitates connections between independent users and does not provide services, employ providers, or control user conduct. All interactions are independent and at the sole risk of users, and all liabilities arising therefrom are contractually and operationally allocated to the users to the fullest extent permitted by law.
DISPUTE RESOLUTION AND JURISDICTION
Any dispute arising from the use of the Platform shall be subject to the exclusive jurisdiction of courts in Punjab, India.
Parties agree to attempt amicable resolution before initiating legal proceedings.
